Legal Officer

The successful candidate will provide legal and corporate support across the group, assisting with governance matters, preparing and reviewing legal documentation, and ensuring compliance with statutory obligations.

Key Responsibilities:

• Assist with corporate governance matters, including the preparation of board and shareholder meeting documentation, minutes, resolutions, and statutory filings.
• Draft, review, and negotiate a wide range of legal and corporate documents, including service agreements, shareholder agreements, corporate policies, and internal governance frameworks.
• Support the Legal & Compliance Director in managing the company's group structure and maintaining corporate records across multiple jurisdictions.
• Liaise with external counsel, regulatory authorities, corporate service providers, and other stakeholders on corporate and compliance-related matters.
• Monitor developments in corporate, commercial, and regulatory law and advise on their impact to the business.
• Assist in due diligence exercises for group projects, new ventures, and regulatory submissions.
• Ensure accurate and timely filing of statutory documents and maintenance of company registers.
• Provide internal legal guidance on day-to-day queries relating to corporate matters, contracts, and governance.

Requirements:

• Doctor of Laws (LL.D.) or Master of Advocacy (M.Adv.) from the University of Malta (or equivalent).
• Over 8 years' post-qualification experience in corporate law.
• Strong knowledge of Maltese corporate and commercial law.
• Experience in corporate governance, company secretarial matters, and group structuring.
• Excellent command of Maltese and English (both written and spoken).
• Strong drafting, analytical, and negotiation skills.
• Ability to work independently and handle multiple projects with accuracy and efficiency.
• Strong interpersonal and communication skills with the ability to liaise effectively with senior stakeholders.
